"Platform" refers to the proprietary software and technology systems operated by VelvetGeaux LLC. "Client Site" means the website built by VelvetGeaux for a client. "Build Fee" is a one-time non-refundable fee for design and development. "Monthly Subscription" is the recurring fee for hosting, maintenance, and support.
VelvetGeaux will design and build the Client Site as described in the agreed Scope of Work. The Build Fee includes up to two rounds of design revisions. Additional work not in the original scope requires a written change order.
VelvetGeaux grants Client a non-exclusive, non-transferable license to use the Platform solely for operating the Client Site during the term of this Agreement. All underlying software code and infrastructure remain the property of VelvetGeaux LLC. Client retains full ownership of all client-provided content including logos, copy, and photos.
The Build Fee is non-refundable under all circumstances. By submitting payment, Client acknowledges that the Build Fee compensates VelvetGeaux for development resources committed to the project.
The Monthly Subscription covers hosting, SSL, security updates, platform maintenance, and support. Client may cancel at any time with written notice. Cancellation takes effect at the end of the current billing period. No partial-month refunds.
VelvetGeaux operates an AI-powered customer service SMS line. By texting our number, you consent to receive automated replies. Message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for help.
Mobile information and messaging consent are not shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data is never sold or transferred to any third party for marketing use.

Client agrees not to use the Platform for any illegal activities, sale of controlled substances without licensing, human trafficking, hateful or discriminatory content, malware distribution, or impersonation. VelvetGeaux may terminate service immediately for violations.
VelvetGeaux does not guarantee specific business outcomes. VelvetGeaux's total liability shall not exceed three months of subscription fees paid prior to the claim. VelvetGeaux is not liable for indirect, incidental, or consequential damages.
Either party may terminate with 30 days written notice. VelvetGeaux may terminate immediately for non-payment, policy violations, or chargebacks. Upon termination, VelvetGeaux will provide a content export within 14 business days.
This Agreement is governed by the laws of the State of Louisiana. Disputes shall be resolved by binding arbitration in Orleans Parish, Louisiana.
